Reading the auditor's report: what to look for
The auditor's report is short and often skipped. It contains some of the most useful signals in an annual report.
The opinion
An unmodified opinion means the auditor found the statements present a true and fair view in all material respects. A qualified, adverse or disclaimer of opinion is a serious signal and should prompt careful reading of the reasons given.
Key audit matters
Auditors of listed companies describe the areas that required the most attention, such as revenue recognition, valuation of assets or significant estimates. These tell you where judgement is concentrated.
Emphasis and other-matter paragraphs
An emphasis paragraph draws attention to a matter already disclosed in the statements, such as a significant uncertainty or litigation. Read the referenced note.
Going concern
Check for any comment on material uncertainty about the company's ability to continue operating.
Additional reports
In India, the report also includes statements on matters required by company law and by the auditor's reporting order for companies. These can include comments on loans, related parties, fraud reporting and internal financial controls.
A reading routine
- Read the opinion paragraph first.
- Read the key audit matters and find the matching notes.
- Compare the matters with the previous two years.
Limits
An unmodified opinion is not a guarantee about future performance or a recommendation. Verify details against the actual report on the company's or exchange's website.
